REGULATIONS FOR EXHIBITORS

1. Name of the Fair : VILLA Fair / Istanbul 09

2. Venue and Dates : The exhibition will be held from 07th to 11th january, 2009 at 9-10-11 Halls of Istanbul Expo Center / New Fair Complex – Turkey, by Demos Exhibition and Organization Co., Ltd. Visiting hours are between 10.30 a.m. and 07.30p.m. everyday.

3. In case of any of the participants fails to take over the rented stand until 11:00 on january 8th, 2009 and to start the decoration works, then Demos shall be entitled to make free use of the unused stands and Demos shall be liable to specify the dimensions of each stand and to mark the corners on the ground before handing them over to the participants. The participants shall be entitled to exhibit their products and services within the boundaries of the area allocated to them. The participants shall in no way be entitled to assign the said area partly or completely to any third parties. Nailing and punching the floor of the rented area are prohibited. The participants shall be liable to design their stands in such a way so as only to necessitate assembly before the exhibition.

4. The site plan shall be drawn up by Building & Industry Center (hereinafter to be referred to as "Demos") and the companies shall be liable to exhibit their products or services within the boundaries of areas allocated to them in accordance with the terms and conditions stipulated hereunder. The technical and commercial information concerning the products or services shall be provided by the officials employed by the relevant company in the exhibition stand.

5. The calculation of the stand dimensions were based on the multiples of the square meter. No exhibition material or promotional material shall be extending over the projection of the area rented by the participants in compliance with the terms and conditions stipulated hereunder. The standard stands shall be 248 cm high (For detailed information, please refer to the Exhibitor Manual). These stands shall be handed over after being surrounded by boards with aluminum construction. Other than the standard company name and stand number provided by Demos, participants using standard stands shall in no way be entitled to fix any logos, inscriptions, pictures or similar material upon the fascia board of the stand.

The participants shall be liable to ensure that the stand components handed over to them are not damaged, and to conduct any decoration procedures in such a way so as not to damage the floors and walls and without using any fixing components such as nails, sockets etc. Companies sharing one partition of a stand shall not be entitled to fix any logos, inscriptions, advertisements, pictures etc. on the adjacent wall of the neighboring stand. Companies needing a more unrestricted exhibition arrangement shall be entitled to assemble specially designed stands. As regards to special stand applications without the standard stand system, the participants shall be liable to assemble the back or surrounding walls. For participants wishing to design and assemble their own stands themselves, the maximum to the figures specified by Demos for each of the exhibition halls.

6. Two-storeyed stands could only be requested by companies taking part in the exhibition with their own special stands. Participants assembling stands with a surface area below 35 square meters shall not be allowed to file a request for a second storey. In double-storied applications, the height (the uppermost point) of the stand shall in no way exceed the figures. As regards to said applications, the price to be charged for each square meter of the second storey shall be 50% less than the relevant price, and shall be collected in addition.

7. Expenses regarding the interior decoration of the stands, exhibition of products and services etc. shall be covered by the participants. The participants shall be liable to submit the stand decoration projects along with relevant static projects to Demos until nov. 14, 2007 at the latest for the approval of their compliance to the stipulated dimensions and exhibition order. Stand projects shall be inclusive of all measurements, scales and three-dimensional drawings. Demos shall reserve the right to approve or reject the projects. In case any stands not approved by Demos are assembled on the exhibition grounds, Demos shall be entitled to intervene in and to stop construction, and to demolish the stand. The decision to be adopted by Demos on the exhibition grounds shall be final and binding. In case the participant occupies an area exceeding the number of square meters stipulated hereunder and fails to correct the said default after being notified by Demos in writing, then a fine amounting to 5 (five) times the maximum stand price shall be payable and due. Demos shall reserve the right to perform all kinds of necessary amendments and modifications in the exhibition area in compliance with the planning principles. No participants shall be allowed to decide not to take part in the exhibition for this reason. Notwithstanding the approval granted in compliance with the foregone paragraphs, any materials and products violating the general rules of the exhibition and not complying to the concept because of reasons such as the general outlook, smell, smoke, vibration etc. shall have to be removed from the exhibition area upon Demos's relevant request. In case any of the participants fail to comply to the said request, then Demos shall be entitled to add the relevant amount to the invoice to be submitted to the participant.

8. The interior decoration works of the stands shall have to be completed by the participants in 2,5 days (07-08-09 January 2008). As the exhibition shall be opening on January 10, 2008, the assembly of the stands shall have to be completed by 24:00 on January 09, 2008 at the latest. Demos shall be entitled to intervene and stop the activities of companies failing to complete their work by the said time. The participants shall be liable to ensure that the interior decoration efforts are used outside the exhibition ground, and the above mentioned 2,5 days period are spent for assembly and last minute retouching processes. For fire protection purposes, the stands shall have to be planned in such a way so as not to obstruct the lids of fire cupboards and to ensure that the fire cupboards are always easily accessible. The exterior of fire cupboards shall not be coated with any material.

9. In order to avoid any disagreements and conflicts, neighboring companies shall get in touch with each other. Demos shall in no way be liable as regards to disagreements arising out of height differences in spite of the fact that the stands were assembled in compliance with the maximum heights. The Company assembling a stand higher than the neighboring stand shall be liable to cover the portion of the stand overlooking the neighbor's stand, and to ensure that the said portion is clean and painted white. The participant shall not be entitled to make use of the said overlooking area to place or adhere any materials, inscriptions, flags etc.

10. The participants taking part in the exhibition shall be liable to have removed the entire exhibition materials, equipment, furniture and other materials by 19:30-24:00 on January 13, 2008 while companies participating in the exhibition with special stands shall be liable to have removed their entire stand materials from the exhibition grounds by 12:00 on January 14, 2008 at the latest. The participants shall have to ensure that the stands are handed over back to Demos as clean as they were on the day they were taken over. In case any of the participants fail to vacate the stand during the above mentioned period, then the exhibition management shall be entitled to remove the stand, exhibition equipment and other materials without further notice and without ensuring that the said equipment and materials are handed over to the relevant company. Any expenses thus incurred shall be invoiced to the relevant company with a price increase of 50%. The participants shall in no way be entitled to claim any indemnities from Demos for this reason.

11. Demos undertakes to supply one electric socket, free-of-charge 100 watts energy usage right for each 3 square meters of the stand area and 1 spot for each 3 square meters of the said area, to each and every standard stand. In case the participant goes beyond the said limits, then the requests shall be fulfilled for the relevant charge. As regards to participation without a stand or outdoors, the internal electricity installation shall be provided by the participant. The exhibition organization shall be liable to supply one electric socket and free-of-charge 100 watts energy usage right for each 3 square meters of the stand area.

12. In case the participant requires a carpet to cover the floor, then the carpet shall be supplied by Demos (only for Furnished Stands). No carpet shall be supplied to the stands of participants signing an outdoors contract. The carpet shall be the standard carpet used by Demos. Any other requests concerning differently colored carpets shall be fulfilled by the participants themselves. The carpets shall be deemed to have been let to the participants during the exhibition. Participants requesting carpets shall in no way be entitled to pick up and take the carpet at any phase of the exhibition.
